Terms of Service

Acceptance of terms

By accessing or using Zariel (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service. If you are accepting on behalf of a company or other organization, you represent that you have the authority to bind that organization.

The service

Zariel is the Agentic SDLC platform: a hosted dashboard, a structured knowledge base, a library of open-source plugins, and software delivery lifecycle orchestration that runs above the coding-agent runtime you already use. The Service is designed to keep human and AI-agent contributors aligned on the same shared context as they plan, build, and ship.

Platform components

The Service includes the hosted dashboard and knowledge base UI, the plugin catalog covering planning, code review, and delivery integrations, and the orchestration layer that sequences work across your chosen coding-agent runtime.

Accounts and eligibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current information when creating an account, and you must be able to form a binding contract to use the Service, whether as an individual or on behalf of an organization.

Acceptable use

You agree not to use the Service for any unlawful, infringing, abusive, or security-violating purpose, including any attempt to gain unauthorized access to any part of the Service or to another user's data. You may not reverse engineer, decompile, or attempt to extract the source code of the Service, except where such a restriction is prohibited by applicable law.

Prohibited conduct

Without limiting the above, you agree not to:

  • Interfere with or disrupt the integrity or performance of the Service or the data it contains.
  • Circumvent or exceed any rate limit, seat limit, or usage limit associated with your plan.
  • Upload content that infringes another party's intellectual property or violates applicable law.
  • Misrepresent your identity or affiliation when accessing the Service.

Customer content and knowledge base

You retain all ownership rights to the content, code references, and knowledge you add to the Service, including anything stored in your knowledge base. You grant Zariel a limited, non-exclusive license to host, process, and display that content solely as needed to provide and improve the Service for you.

Intellectual property

The Zariel platform, including its dashboard, orchestration engine, and branding, is owned by Uriel JSC and its licensors. Zariel's open-source plugins are provided to you under their respective open-source licenses, which govern your use of those specific components independently of these terms.

Third-party services and model runtimes

The Service integrates with third-party tools such as Discord, GitHub, GitLab, and Notion, and connects to the coding-agent model runtime you choose to run alongside Zariel, such as Claude Code. Each of these integrations and runtimes is governed by its own provider's terms, and you are responsible for your own compliance with those terms when you connect them to the Service.

Fees and billing

Where a paid plan applies, fees are billed on a token-and-seat basis as set out in your order form or plan selection. Fees are exclusive of applicable taxes, which you are responsible for unless we are required by law to collect them. We may change our fees or plans on reasonable prior notice; continued use of a paid plan after a change takes effect means you accept the new terms.

Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as needed to perform under these terms or as required by law.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of uninterrupted, timely, or error-free operation. Zariel does not warrant that the Service will meet every requirement of your specific development workflow.

Limitation of liability

To the maximum extent permitted by applicable law, Zariel's total liability arising out of or relating to these terms or the Service is limited, and neither party is liable for indirect, incidental, or consequential damages arising from use of the Service.

Indemnification

You agree to indemnify and hold Zariel harmless from any claims, damages, or expenses arising from your misuse of the Service or your violation of these terms, including any claim arising from content you submit through your account.

Term and termination

These terms remain in effect for as long as you use the Service. Either party may terminate the agreement as set out in your order form or, where no order form applies, with reasonable written notice.

Effect of termination

On termination, your right to access the Service ends, and any outstanding fees remain due. You may request an export of your knowledge base content for a limited period following termination, as described in your order form.

Governing law

These terms are governed by the laws of [jurisdiction to be confirmed], without regard to conflict-of-law principles. Any dispute arising from these terms will be resolved through the venue set out in your order form or, absent an order form, in the courts of that same jurisdiction.

Changes to these terms

We may update these terms from time to time to reflect changes to the Service or applicable law. When we make material changes, we will provide reasonable notice, such as an in-product notice or an email to your account's registered address. Your continued use of the Service after a change takes effect means you accept the updated terms.
